ACT Research Professional Speaking Engagement Terms
1. Engagement and Confirmation
These terms apply when ACT Research provides a speaker, presenter, moderator, or panel participant for an event. The engagement details—including the speaker, event, date, location or delivery format, presentation topic, and fee—will be identified in the accepted proposal, confirmation, or invoice.
The engagement is confirmed only after ACT provides written confirmation and the client accepts the applicable proposal, invoice, or order form.
2. Fees and Payment
The client agrees to pay the speaking fee and any approved expenses shown on the invoice. Payment is due by the invoice due date unless ACT approves different terms in writing.
The speaking fee covers only the presentation and preparation described in the accepted engagement. Additional presentations, substantial customization, rehearsals, meetings, recordings, or other services may require an additional fee approved by the client.
3. Client Responsibilities
The client will provide accurate event details, audience information, presentation requirements, deadlines, venue access, and technical specifications. For in-person events, the client is responsible for suitable audiovisual equipment and on-site support. For virtual events, the client is responsible for the agreed platform, access instructions, and technical support unless otherwise stated.
Material changes to the date, time, location, format, audience, topic, or presentation requirements must be approved by ACT. Changes that require additional preparation, travel, or services may result in additional fees.
4. Client Cancellation or Rescheduling
The cancellation cutoff will be stated in the engagement confirmation or invoice. A written cancellation received before that cutoff will receive a refund of any speaking fee paid, less approved or nonrecoverable expenses already incurred by ACT.
Beginning on the cancellation cutoff date, the speaking fee is non-refundable and remains payable. Approved travel expenses and other nonrecoverable costs remain the client’s responsibility regardless of when the engagement is canceled.
The client may request that the engagement be rescheduled. Rescheduling is subject to speaker availability and ACT’s written approval. Payments may be applied to the rescheduled engagement if it occurs within 60 days and the scope remains substantially unchanged. Additional expenses resulting from the change will be billed separately.
5. ACT Cancellation, Speaker Substitution, or Force Majeure
ACT may substitute another qualified speaker with the client’s approval if the originally scheduled speaker becomes unavailable. If an acceptable substitute or rescheduled date cannot be arranged, ACT will refund the speaking fee paid.
ACT may also cancel, reschedule, relocate, or change the delivery format when circumstances beyond its reasonable control make the engagement illegal, unsafe, impracticable, or commercially unreasonable.
ACT is not responsible for the client’s venue costs, marketing expenses, attendee travel, lost revenue, or other indirect costs resulting from a speaker change, rescheduling, or cancellation.
6. Travel and Related Expenses
Unless expressly included in the speaking fee, the client is responsible for reasonable and approved travel expenses associated with the engagement. These may include airfare, lodging, ground transportation, mileage, parking, and meals.
Travel expenses may be billed separately after the event, with supporting documentation available upon request. The client is also responsible for non-refundable travel expenses or change fees resulting from a client-requested cancellation, rescheduling, relocation, or format change.
- Presentation Materials, Recording, and Promotion
ACT retains ownership of its presentations, forecasts, data, analysis, slides, and related materials. Materials are provided for event attendees’ internal business use and may not be reproduced, published, sold, redistributed, or used to create another product or service without ACT’s written permission.
The client may not record, livestream, rebroadcast, transcribe, publish, or distribute the presentation unless ACT has granted written permission. Any approved recording or reuse may require a separate license, usage period, audience limitation, attribution, and fee.
The client may use ACT-approved speaker names, titles, biographies, headshots, company descriptions, and session descriptions solely to promote the confirmed event. Material changes to ACT-provided promotional content require written approval.
7. Analysis, Liability, Governing Law, and Questions
ACT presentations provide market information and analysis based on information available at the time. Forecasts and market conditions may change, and ACT does not guarantee any particular business, financial, investment, or operational result. The client and attendees remain responsible for their decisions.
To the extent permitted by law, ACT’s total liability related to the engagement will not exceed the speaking fees paid to ACT for the affected engagement. ACT is not responsible for indirect, incidental, special, or consequential losses.
These terms are governed by Indiana law. Any permitted legal proceeding will be brought in the state or federal courts serving Bartholomew County, Indiana.
